Terms of Service

Welcome to Chups, Inc. (“Chups,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of the Chups website, mobile apps, and the Chups Platform (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. The Service
The Chups Platform is an online marketplace that connects local moms and home kitchens (“Sellers”) with customers who want to order homestyle meals (“Customers”). Chups facilitates the listing, ordering, payment, and (where available) delivery of meals. Chups is not the cook, restaurant, or licensee of the food prepared by Sellers.
2. Eligibility & Accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. You agree to provide accurate account information, keep your credentials secure, and promptly notify us of any unauthorized access. You are responsible for all activity that occurs under your account.
3. Orders, Pricing & Payments
Prices, availability, and delivery windows are shown at the time of order and may change. By placing an order you authorize Chups (and our payment processor) to charge your selected payment method for the total amount, including taxes and applicable delivery or service fees. Meal Pass wallet credits are non-refundable for cash and may expire as described at the time of purchase.
4. Cancellations & Refunds
You may cancel an order at no charge before the Seller begins preparing it. After preparation has started, the order cannot be cancelled. If something is wrong with your order, contact support at [email protected] within 24 hours and we’ll work with you to make it right — including refunds where appropriate.
5. User Conduct
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes;
- Misrepresent yourself, your identity, or your affiliation with any person;
- Harass, abuse, or harm other users, Sellers, or Chups staff;
- Interfere with the Service’s security, integrity, or performance;
- Scrape, copy, or resell content from the Service without our written permission.
6. Content & Reviews
You retain ownership of any content you submit (such as reviews, photos, or messages). By submitting content, you grant Chups a worldwide, royalty-free license to host, display, reproduce, and distribute that content in connection with the Service. Content must not be illegal, defamatory, or infringing.
7. Sellers & Independent Operators
Sellers on the Chups Platform are independent operators. Chups does not employ Sellers and does not warrant the quality, safety, legality, or accuracy of their meals. Sellers are responsible for compliance with applicable food-safety laws and permits.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. To the maximum extent permitted by law, Chups disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Chups will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service. Chups’s aggregate liability for any claim relating to the Service will not exceed the amount you paid to Chups in the 12 months before the event giving rise to the claim.
10. Termination
You may stop using the Service at any time. Chups may suspend or terminate your account if you violate these Terms or if we reasonably believe you have engaged in fraud or abuse. Sections of these Terms that by their nature should survive termination will do so.
11. Changes to these Terms
We may update these Terms from time to time. We’ll post the updated version here with a new effective date. Continued use of the Service after changes go into effect means you accept the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California, unless required otherwise by applicable law.
